1. Agreement
These Terms of Service (“Terms”) are an agreement between you and MimesisIQ LLC (“MimesisIQ,” “we,” “us,” or “our”) governing your use of Praecis, including praecis.co and app.praecis.co. By creating an account, accepting an invitation, or using the service, you agree to these Terms and our Privacy Policy.
If you use Praecis for an organization, you represent that you have authority to bind that organization. “You” includes that organization.
2. Accounts and workspace administration
You must provide accurate information, protect your credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity performed through your account except to the extent caused by our breach of these Terms.
Workspace owners and administrators control membership, roles, companies, source mappings, alerts, and other settings. They are responsible for having authority to add users and connect business accounts or data.
3. Connected services
Praecis can access third-party services only when an authorized user initiates a connection. Your use of Google services, Shopify, Stripe, Meta, Klaviyo, QuickBooks Online, Xero, X, and other providers remains governed by their terms. Provider availability, permissions, APIs, and data can change without our control.
You authorize us to access and process selected source data as needed to provide Praecis. You may revoke a connection, but doing so can limit features and stop future synchronization.
4. Acceptable use
You may not use Praecis to violate law or third-party rights; access accounts or data without authorization; introduce malware; bypass security or rate limits; probe the service without permission; interfere with other users; resell access without written approval; or use the service to build a competing dataset through systematic extraction.
You remain responsible for decisions made using the dashboard. Praecis provides operating information and workflow support, not legal, tax, accounting, investment, or other regulated professional advice.
5. Your data and feedback
You retain your rights in information you submit or authorize Praecis to access (“Customer Data”). You grant us a limited right to host, process, transmit, and display Customer Data only as necessary to provide, secure, support, and improve the service and as otherwise described in the Privacy Policy.
You represent that you have the rights and permissions necessary for Customer Data. If you provide product feedback, you allow us to use it without restriction or compensation, provided we do not publicly identify you without permission.
6. Service, fees, and termination
Features may change as Praecis develops. We may add, remove, suspend, or modify functionality, especially when a provider changes its API or permissions. We will make reasonable efforts to avoid materially disrupting paid service without notice where practical.
Any paid plan, billing interval, usage limit, renewal term, or cancellation right shown at purchase becomes part of these Terms. Fees are non-refundable except where required by law or expressly stated at purchase.
You may stop using Praecis at any time. We may suspend or terminate access for material breach, security risk, nonpayment, unlawful conduct, or discontinuation of the service. Provisions that by their nature should survive termination will survive.
7. Disclaimers and limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAECIS IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
We do not guarantee that provider data is complete, current, or error-free. Metrics can be delayed or revised by their source. You should verify information before making consequential decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIMESISIQ LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR PRAECIS DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR US$100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply.
8. General
These Terms, together with referenced policies and applicable order terms, are the entire agreement about Praecis. If any provision is unenforceable, the remaining provisions remain effective. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets.
We may update these Terms by posting a revised version and changing the “Last updated” date. Material changes may be communicated through the service or by email. Continued use after the effective date constitutes acceptance where permitted by law.
